BYLAWS

ARTICLE I. NAME

The name of the organization shall be the Sioux County Democratic Party.

ARTICLE II. PURPOSE

The purpose is to support and strengthen the Democratic Party through the political development, activity, and advocacy of its membership. The chief objectives are to cultivate active interest in the local, state, and national Democratic Party, to support campaigns and to engage in grassroots, outreach, organizing and recruitment.

ARTICLE III. MEMBERSHIP

A. Membership shall be open to all residents of Sioux County registered

as a Democratic regardless of race, religion, national origin, gender, sexual

orientation or gender identity.

B. Funding of the Party by its members shall be voluntary.

ARTICLE IV. OFFICERS

The officers of the Sioux County Democratic Party shall consist of a Chairman, a Vice Chairman, a Secretary and a Treasurer. Together the four officers shall makeup the Executive Committee.

A. Terms: Elected officers will serve a term of one year.

B. Duties:

1. The Chair shall preside at all Party meetings, appoint committee

members, and perform other duties associated with the office.

2. The Vice Chairman shall assume the duties of the Chairman in case of

the Chair’s absence.

3. The Secretary shall be responsible for the minutes of the Party, keep

all approved minutes in an organized fashion and upon request, make

available to any member, the minutes of a specific meeting.

4. The Treasurer shall keep records of the Party’s budget and prepare

financial reports as needed.

C. Vacancy: A vacancy in any office shall be filled by a vote of a majority of

members present and voting at a meeting of this Party, provided that prior

notice of such vacancy and election be given to regular members.

D. In order to comply with Nebraska State Democratic Party rules, honorary

officers may be seated.

ARTICLE V. COMMITTEES

The Executive Committee may appoint standing and ad hoc committees as needed.

 

ARTICLE VI. MEETINGS

A. Regular meetings shall be held on the second Monday of a given month.

Meetings shall convene at the Harrison House Hotel and begin at 7:00 PM

unless otherwise posted.

1. During a Non-Presidential Election year, meetings shall be quarterly, i.e.,

January, April, July and October.

2. During a Presidential Election year, a minimum of eight (8) meetings

shall be held.

B. Special meetings may be held at anytime when called for by the Chairman

or a majority of the members

C. Agendas shall be provided at least ten (10) days prior to a given meeting

and shall be posted on the Party’s website. www.siouxcountydems.org

D. Parliamentary Procedure. In all cases not provided for by law or by these

by-laws, the meetings of this Party shall be governed by Robert’s Rules of

Order.

ARTICLE VII. VOTING

Three members of the Executive Committee plus three regular members present shall constitute a quorum. In absence of a quorum, no formal action shall be taken except to adjourn the meeting to a subsequent date.

A. Passage of a motion requires a simple majority (ie., one more than half the

members present.)

ARTICLE VIII. CONFLICT OF INTEREST

Any member of the Party who has a financial, personal or official interest in or conflict (or appearance of a conflict) with any matter pending before the Party, of such nature that it prevents or may prevent that member from acting on the matter in an impartial manner, will offer to the Party to voluntarily excuse him/herself and will vacate his seat and refrain from discussion and voting on said item.

ARTICLE IX. FISCAL POLICIES

The fiscal year of the Party shall be June 30 to June 29th of the following year.

ARTICLE X. AMENDMENTS

These By-laws may be amended by a vote of 2/3’s of the members present and voting at a meeting of this Party provided that (1). prior (15 days) written notice of a reading of a proposed amendment shall be given to all members; and (2). the amendment is read and discussed at the meeting preceding the vote.
